What these terms do
This End User Licence Agreement (“EULA”) isbetween you and Lucemi.
Lucemi may operate through different legalentities depending on the country from which you access the Software. This EULAis issued on behalf of the Lucemi group, so when we refer to “Lucemi”, “we”,“us” or “our”, we mean the relevant Lucemi entity responsible for providing theSoftware to you.
This EULA applies to your use of our websitesand software, including (without limitation) software provided as a service viaa website, mobile applications, and any related or connected features(together, the “Software”).
This EULA creates binding legal obligations onyou as an individual. You must read it carefully before using the Software. Byclicking “accept”, creating an account, downloading, installing, accessing, orcontinuing to use the Software, you agree to be bound by this EULA.
If you do not agree, you must not use the Software.
Eligibility and age requirement
The Software is intended for use by individuals aged 18 years or older only.
By using the Software, you confirm and warrant that:
- you are at least 18 years old; and
- you have the legal capacity to enter into this EULA.
Lucemi does not knowingly provide the Software to children or minors.
Licence grant and ownership
In consideration of you agreeing to comply with this EULA, Lucemi grants you a non-exclusive, non-transferable, revocable licence to use the Software strictly in accordance with the terms of this EULA.
The Software is licensed, not sold. Lucemi (and/or its licensors) remain the owners of:
- the Software;
- all copies of the Software; and
- all intellectual property rights in and relating to the Software.
Except as expressly permitted under this EULA, you have no rights in or to the Software. Any attempt by you to transfer, sublicense, or otherwise deal with the Software or your rights under this EULA is void.
All rights not expressly granted to you are reserved by Lucemi.
Intended use of the software
Lucemi provides an AI-powered emotional wellbeing support platform intended to help users explore thoughts and feelings, develop emotional awareness, and engage in wellbeing practices.
The Software may include:
- an AI-enabled conversational space for reflection and emotional support;
- journaling, mood tracking, and self-reflection tools;
- structured exercises such as breathing, grounding, or mindfulness activities;
- summaries, insights, or patterns derived from your interactions.
Availability of features may vary by region, platform, subscription type, or technical constraints.
Important medical and mental health disclaimers
The Software is not a medical device and does not provide medical advice, diagnosis, or treatment.
Lucemi:
- journaling, mood tracking, and self-reflection tools;
- is not a healthcare provider;
- does not offer psychotherapy, psychiatry, or clinical mental health services;
- does not diagnose conditions or prescribe medication.
The Software is intended for general emotional wellbeing support only and is not a substitute for professional medical or mental health care.
You must always seek advice from a qualified healthcare professional if you require medical, psychological, or psychiatric assistance.
Lucemi does not assume any duty of care typically associated with healthcare providers or licensed professionals.
Not for crisis or emergency use
The Software is not designed for use in emergencies or crisis situations.
If you are experiencing thoughts of self-harm, suicide, harm to others, or any situation requiring urgent assistance, you must contact local emergency services or a qualified crisis support provider immediately.
While Lucemi may provide signposting to crisis resources, it cannot provide emergency care or crisis intervention.
AI-enabled features and limitations
You understand and acknowledge that you are interacting with an artificial intelligence system and not a human.
You understand and acknowledge that when using AI-enabled features:
- AI systems may misunderstand input, produce incorrect inferences, or generate responses that are incomplete, inaccurate, or inappropriate;
- AI technology has inherent limitations and may not always function as intended.
You agree that:
- you will not rely on the Software as your sole source of support;
- you will not treat AI-generated outputs as professional advice;
- you remain responsible for your own decisions, actions, and wellbeing.
You should not share highly sensitive personal data unless explicitly requested for a specific feature and only where necessary.
The Software may not be suitable for all individuals, situations, or emotional or mental health needs.
Lucemi does not guarantee that use of the Software will result in any improvement in your emotional wellbeing, mental health, or personal outcomes.
Mobile Software
Where the Software is provided via a mobile application (“Mobile Software”), you must use a compatible device. Lucemi does not guarantee compatibility with all devices or operating systems.
Lucemi may issue updates or upgrades to the Mobile Software, which may be installed automatically. This EULA applies to all such updates.
Your use of the software
You may use the Software only for your personal, non-commercial purposes.
You agree that you will:
- use the Software lawfully and responsibly;
- keep your account credentials confidential;
- ensure that all information you provide is accurate and up to date.
You must not use the Software for research, clinical studies, or commercial purposes without Lucemi’s prior written consent.
You are solely responsible for any decisions, actions, or outcomes resulting from your use of the Software.
You agree that you will use your own judgment and seek professional advice where appropriate.
Prohibited activities
You agree not to knowingly or recklessly:
- copy, modify, duplicate, scrape, harvest, or distribute any part of the Software;
- use automated tools to access the Software in a manner that places unreasonable load on our systems;
- attempt to bypass security or access restricted areas;
- introduce malware, viruses, or harmful code;
- reverse engineer, decompile, or disassemble the Software except where permitted by non-excludable law;
- impersonate others or misrepresent your identity;
- use the Software to create or support a competing product or service;
- engage in abusive, unlawful, or harmful conduct;
- interfere with the proper functioning or security of the Software.
User Content
The Software may allow you to submit content such as messages, journal entries, reflections, or other materials (“User Content”).
You retain ownership of your User Content.
By submitting User Content, you grant Lucemi a royalty-free, worldwide, non-exclusive, sublicensable licence to use, host, store, process, reproduce, and modify such User Content solely for the purposes of:
- providing and operating the Software;
- maintaining and improving the Services;
- ensuring safety and compliance;
- complying with legal obligations, all in accordance with our Privacy Policy.
You agree not to submit User Content that is unlawful, harmful, abusive, misleading, or infringes the rights of others.
Lucemi may remove or restrict User Content at its discretion where required for safety, legal, or operational reasons.
Data protection and privacy
Lucemi collects and processes personal data in accordance with applicable data protection laws.
Details of how we handle personal data are set out in our Privacy Policy, which forms part of this EULA.
Availability, changes, and updates
Lucemi may modify, suspend, or discontinue any part of the Software at any time.
We do not guarantee uninterrupted or error-free operation. Temporary outages or changes may occur for maintenance, security, or technical reasons.
We may update this EULA to reflect changes in law, best practice, or the Software. Where appropriate, we will notify you of material changes. Continued use constitutes acceptance of the updated terms.
Suspension and termination
Lucemi may suspend, restrict, or terminate your access to the Software at any time, with or without notice, if:
- you commit a material or persistent breach of this EULA;
- you fail to remedy a breach (if remediable) within a reasonable period after notice;
- your use of the Software poses a risk to yourself, other users, or third parties;
- your conduct creates legal, regulatory, or reputational risk for Lucemi;
- we are required to do so by law, regulation, or platform policies;
- we reasonably believe it is necessary to protect the safety, integrity, or proper functioning of the Software.
Lucemi may also suspend or terminate your access at its discretion, including where continued provision of the Software is no longer commercially or technically feasible.
Upon suspension or termination for any reason:
- we are required to do so by law, regulation, or platform policies;
- all rights granted to you under this EULA shall immediately cease;
- you must stop all use of the Software;
- you must delete or remove the Software from all devices in your possession or control;
- Lucemi may disable or delete your Account and associated data, subject to applicable laws and our Privacy Policy.
Termination shall not affect any rights or obligations that have accrued prior to termination, including provisions relating to intellectual property, disclaimers, limitation of liability, and indemnity, which shall survive termination.
Disclaimer of warranties
The Software is provided “as is” and “as available”.
To the maximum extent permitted by law, Lucemi disclaims all warranties, express orimplied, including warranties of accuracy, availability, fitness for purpose, and noninfringement.
Limitation of liability
To the maximum extent permitted by applicable law, you acknowledge and agree that your use of the Software is entirely at your own risk.
You acknowledge that the Software is intended as a support tool only and that any reliance on the Software is at your own risk.
Lucemi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- loss of profits, revenue, or business opportunity;
- loss of data, content, or information;
- emotional distress, mental health outcomes, or psychological harm;
- decisions, actions, or inactions taken by you based on your use of the Software;
- reliance on any content, suggestions, or outputs generated by the Software, including AI-generated responses;
- interruption, delay, or inability to use the Software;
- unauthorised access to or alteration of your data.
You expressly acknowledge that:
- the Software is not designed to meet your individual requirements;
- AI-generated outputs may be inaccurate, incomplete, delayed, or inappropriate;
- the Software may not always detect or respond appropriately to emotional distress, crisis situations, or high-risk user inputs;
- the Software is not a substitute for professional medical, psychological, or emergency services.
Lucemi shall not be responsible for any harm, loss, or damage arising from:
- your failure to seek appropriate professional help when needed;
- your use of the Software in situations where professional or emergency care is required;
- misuse of the Software contrary to this EULA.
To the maximum extent permitted by law, Lucemi’s total aggregate liability to you, whether in contract, tort (including negligence), or otherwise, shall in all circumstances be limited to:
- the total amount paid by you (if any) for the use of the Software in the twelve (12) months immediately preceding the event giving rise to the claim; or
- where no payment has been made, Lucemi’s total aggregate liability shall be limited to the minimum amount permitted by applicable law.
Nothing in this EULA shall exclude or limit liability where it would be unlawful to do so, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be excluded under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless Lucemi, its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of this EULA, misuse of the Software, violation of applicable law, or infringement of any third-party rights.
Governing law and jurisduiction
This EULA, its subject matter, and its formation (including any non-contractual disputes or claims) are governed by and construed in accordance with the laws of Western Australia, Australia.
You and Lucemi agree that the courts of Western Australia shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with this EULA or your use of the Software.
Nothing in this clause shall limit or exclude any rights you may have under applicable consumer protection laws, including laws that cannot be excluded or overridden by agreement.
Where you access the Software from a jurisdiction outside Australia, you are responsible for compliance with local laws, and you acknowledge that the Software may not be appropriate or available for use in all locations.
Other important terms
If any provision of this EULA is found unlawful or unenforceable, the remaining provisions remain in effect.
Failure to enforce any provision does not constitute a waiver.
This EULA, together with the Privacy Policy, constitutes the entire agreement between you and Lucemi regarding the Software.
